The following Terms and Conditions of Use (“T&C”) apply to your use of this web portal and all of the services provided on this portal, including but not limited to crowdfunding service, investment opportunities, and information resources (collectively, the “Services”).

By using this portal, you agree to be bound by these T&C. If you do not agree to be bound by these T&C, do not use this portal.

Registration

• You must be at least 18 years old and have the legal capacity to enter into binding contracts to register on this portal.
• You agree to provide true, accurate, and complete information about yourself when registering on the portal.
• You agree to keep your login information confidential and not to disclose it to any third party.
• You agree to notify us immediately if you suspect any unauthorized use of your account.

Termination of Registration

• We reserve the right to terminate or suspend your account and/or access to the Services at any time, without notice, for any reason or no reason.
• You may terminate your account at any time by providing written notice to at info@protoconn.com.

Use of Material Appearing on the Portal

• All content on this portal is protected by copyright and other applicable laws.
• You may not copy, modify, distribute, or transmit any content on this portal without our express written consent.
• You may use the content on this portal for personal, non-commercial use only.

Disclaimer of Liability

• We make no representation or warranty as to the accuracy or completeness of the information provided on this portal.
• We are not responsible for any errors or omissions on this portal or for any reliance placed on the information provided on this portal.
• We are not liable for any damages of any kind arising from the use of this portal or the Services, including but not limited to direct, indirect, incidental, punitive, and consequential damages.

• Your continued use of the portal after any such changes constitutes your acceptance of the new T&C.

Governing Law and Jurisdiction

• These T&C shall be governed by and construed in accordance with the laws of Bangladesh.
• Any dispute arising out of or in connection with these T&C shall be subject to the exclusive jurisdiction

Business Document Requirements

• Updated Trade License
• NID
• TIN Certificate
• Company Bank Account
• Memorandum of Article (For Private Ltd Company)

Business Onboard Conditions

• Minimum 02 year of revenue generation
• Financial statements of previous 02 years

Terms | Startups

• All Projects will go into a Shariah based Working Capital Financing Contract with Protoconn
• Businesses can apply via email for extending funding period
• Campaign will not be published if due diligence process is not qualified
• A campaign might be discontinued at the discretion of the platform without prior notice
• Every Business must provide the financial statements as stated in the forms at the time of campaign creation
• Every Business must possess a Trade License
• Every Business must possess a TIN
• Every Business must provide a thorough breakdown of the funding required
• Minimum time to Launch a campaign is 15 working days upon the completion of due diligence

Terms | Investors

• In case a business is not able to pay return on investment on time, the crowd investment platform protoconn.com will not take any liabilities.
• Investors must do their own due diligence before investment.
• Investors should know the risks and rewards of the investment before investing.
• If a company is found to be fraud after the investment, the investor can take necessary legal actions but the crowd investment platform protoconn.com will abstain from any kind of affiliation in this regard.
• Investors may invest in multiple projects on the platform on FIFI (First In First Invested) process.
• Investments will be returned back to investors within 15 working days without any ROI on the unused fund in FIFI process if an investment is made in a project after 100% fundraised.
• Investments will be based on a project’s performance and ROI (Return On Investment) will be based on a project’s timeline.

Fees Structure

•  3% – 5% of total investment raised in a campaign based on project structure will be considered as service charge.
• Investors will be charged an investment processing fee between 0.5% – 3% on top of Investor’s return from a project.
