Registration

• You must be at least 18 years old and have the legal capacity to enter into binding contracts to register on this portal.
• You agree to provide true, accurate, and complete information about yourself when registering on the portal.
• You agree to keep your login information confidential and not to disclose it to any third party.
• You agree to notify us immediately if you suspect any unauthorized use of your account.

Termination of Registration

• We reserve the right to terminate or suspend your account and/or access to the Services at any time, without notice, for any reason or no reason.
• You may terminate your account at any time by providing written notice to us.

Use of Material Appearing on the Portal

• All content on this portal is protected by copyright and other applicable laws.
• You may not copy, modify, distribute, or transmit any content on this portal without our express written consent.
• You may use the content on this portal for personal, non-commercial use only.

Changes to these T&C of Use

• We reserve the right to modify or update these T&C at any time.

• Your continued use of the portal after any such changes constitutes your acceptance of the new T&C.

Governing Law and Jurisdiction

• These T&C shall be governed by and construed in accordance with the laws of Bangladesh.
• Any dispute arising out of or in connection with these T&C shall be subject to the exclusive jurisdiction

Business Document Requirements

1. Updated Trade License
2. NID of Signatory
3. TIN Certificate
4. BIN Certificate
5. DBID 
6. Company Bank Account and Bank Cheque Leaf
7. Digital Signature
8. Memorandum of Article (For Private Ltd Company)

Business Onboard Conditions

1. Minimum two years of operations
2. Financial statements of past two years
3. Previous investment amount declaration

Investor Onboard Conditions

1. Investors should meet a minimum yearly income threshold for being eligible to invest
2. Verified NID

Terms Startups

1. All startup companies will go into a partnership contract with the investor upon successfully completing their funding round
2. Startups can apply via email for extending funding period
3. Campaign will not be published if due diligence process is not qualified
4. A campaign might be discontinued at the discretion of the platform without prior notice
5. Every applicant must provide the financial statements as stated in the forms at the time of campaign creation
6. Every applicant must possess a Trade License
7. A thorough breakdown of the funding requirement to attract investors

 

Terms Investors

1. Upon investment in a campaign an investor is considered a partner in the invested business
2. In case a business is not able to pay dividend or return on investment on time, the crowd investment platform will not take any liabilities
3. Investors must do their own due diligence before investment
4. Investors should know the risks and rewards of investment before investment
5. If a company is found to be fraud after the investment, the investor can take necessary legal actions but the crowd investment platform will abstain from any kind of affiliation in this regard

Fees Structure

1. 5% of total raised in a campaign will be considered as platform fee along with 2.5% for payment processing fee, which will be discounted first and then disbursed to the business.
